The process will be
to first meet face to face – this will allow
both of us to get comfortable with each other. You
must be comfortable with us and the service we
provide for anything good to happen. We must also
be confident that you are sincerely interested in
selling at a realistic price and terms.
When we have met
and are both comfortable, we will need to review
your year-end financial statements for the past
two or three years plus the latest
monthly/quarterly statements.
The next step will
be to determine the value your business can bring
in the market. This will require a determination
of the fair market value of the business assets,
amount of "discretionary expenses" and
then recast the balance sheet and P&L
statements. This will allow us to put a value on
the business based on asset value and cash flow
expected by the buyer.
Next, we will begin
to market your company. We will prepare a
confidential memorandum, which will give a
potential buyer enough information to determine if
the business fits his profile without telling him
the name and location of the business. All buyers
will be pre-qualified before they ever see your
confidential memorandum. The buyer must be capable
of doing the deal. You will be able to see their
financial statement prior to their ever coming to
your property for a site visit. They will be
required to sign a confidentiality statement
before they ever know the name and location of
your business.
After both parties
are comfortable with the possibility of a
potential deal, we will arrange for a site visit.
Where you can showcase your business to the
prospective buyer. You will be able to answer his
questions at this time.
